Learning Outcomes of LLB Company Law

The learning outcomes of the Company Law module are designed to provide you with a comprehensive understanding of the principles, regulations, and policy issues surrounding corporate entities. If you complete the module successfully, you should be able to:


Explain key concepts of company law: You should be able to explain fundamental concepts that underpin company law, including separate legal personality and limited liability, which are foundational to understanding corporate entities.


Comprehend policy issues in company regulation: You should have a deep understanding of the policy issues that arise in the regulation of companies. You should be able to consider different perspectives and viewpoints regarding these policy issues.


Discuss principles and rules regulating participants: You should be capable of discussing the main principles and rules that regulate and protect various stakeholders within companies, particularly directors, shareholders, and creditors.


Summarise governance issues in public companies: You should be able to summarise the governance issues that arise in large, widely-owned, public companies and understand the strategies developed to ensure effective corporate governance.


Identify and apply legal principles to complex scenarios: You should be proficient in identifying the legal issues presented in complex hypothetical scenarios (problem questions) and applying your knowledge of company law to provide well-structured and reasoned solutions to these questions.


Critically analyse and evaluate company law areas: You should be able to critically analyse and evaluate selected areas of company law, placing policy issues within broader social, economic, and political contexts.


Develop well-reasoned arguments for reform: You should develop the ability to construct well-reasoned arguments for the reform of specific areas of company law, including engaging critically with arguments put forth by other commentators.


Critically read case law and construct answers: You should be proficient in critically reading case law and other legal materials, allowing them to construct well-reasoned answers to questions and issues within the realm of company law.
