Cambridge Master of Corporate Law (MCL)

The Master of Corporate Law (MCL) offered by Cambridge University is arguably the most prestigious legal qualification in the field of corporate law that rivals the BCL of Oxford University though the two programmes focus on different aspects of law. Students will choose to study four modules out of eight. Here is an overview of all the modules offered in the MCL:


Comparative Corporate Governance: This module examines the various models and systems of corporate governance across different jurisdictions. It explores the legal and regulatory frameworks that govern the relationships between a company's management, its shareholders, and other stakeholders. The Law Firm as a Business: This module provides insights into the management and operation of law firms from a business perspective. It covers topics such as strategic planning, financial management, business development, client relations, and talent management. The module explores the challenges faced by law firms in a competitive marketplace, including pricing strategies, technology adoption, and the evolving expectations of clients.


Private Equity: This module focuses on the legal aspects of private equity transactions and investment strategies. It covers topics such as fundraising, deal structuring, due diligence, financing, and exit strategies. The module examines the legal considerations in private equity investments, including governance issues, regulatory compliance, and the role of limited partnerships and other investment vehicles.


Shareholder Activism: This module explores the role of shareholders in influencing corporate decision-making and governance. It examines various forms of shareholder activism, such as proxy contests, shareholder proposals, and engagement with management. The module analyses the legal and regulatory frameworks that govern shareholder activism and the impact it has on corporate behaviour, board composition, and strategic decision-making.


Shareholder Litigation: This module focuses on the legal mechanisms available to shareholders to protect their rights and enforce their claims against corporations. It covers topics such as derivative actions, class actions, and shareholder rights in corporate transactions. The module explores the legal theories, procedural requirements, and challenges involved in shareholder litigation, including issues of standing, burdens of proof, and potential remedies.


Law and the Digital Economy: The Corporate Dimension: This module examines the legal and regulatory aspects of the digital economy and their impact on corporate entities. It covers topics such as data protection, intellectual property in the digital age, e-commerce regulations, cybersecurity, and the legal implications of emerging technologies such as blockchain and artificial intelligence.
