Graduate Diploma in Commercial Law (UOL International Programme)

The Graduate Diploma (GradDip) in Commercial Law offers a comprehensive curriculum designed to equip students with the knowledge and skills necessary to succeed in this dynamic field. This diploma programme consists of a series of modules that cover foundational principles of commercial law, including contract law and company law, as well as optional modules exploring specialised areas such as conflict of laws and intellectual property. Students study two compulsory modules and two optional modules.

Commercial Law

This compulsory module delves into the foundational principles and concepts of commercial law, covering topics such as the legal framework governing commercial transactions, principles of contract formation, and remedies for breach of contract. Students explore various aspects of commercial relationships, including the rights and obligations of parties involved in business transactions.

Contract Law

This compulsory module is a fundamental aspect of commercial transactions. This module provides an in-depth examination of the principles governing the formation, interpretation, and enforcement of contracts. Students learn about key contract elements, such as offer, acceptance, consideration, and intention to create legal relations. They also study the doctrines of mistake, misrepresentation, duress, and undue influence, which impact the validity of contracts.

Company Law

This optional module focuses on the legal framework regulating companies and corporate entities. Topics covered include the formation, management, and dissolution of companies, as well as corporate governance, shareholder rights, and directors' duties. Students explore the complexities of company law, including the principles governing corporate finance, mergers and acquisitions, and corporate insolvency.

Conflict of Laws

This optional module, also known as private international law, deals with legal issues that arise when legal rules of different jurisdictions clash. This module examines principles for resolving conflicts between laws of different jurisdictions, particularly in commercial matters. Students learn about choice of law rules, recognition and enforcement of foreign judgments, and the application of international conventions in resolving cross-border disputes.

Intellectual Property

This optional module encompasses legal protection for creations of the mind, such as inventions, literary and artistic works, and trademarks. In this module, students explore the various forms of intellectual property rights, including patents, copyrights, trademarks, and trade secrets. They examine the principles governing the acquisition, enforcement, and infringement of intellectual property rights, as well as the role of intellectual property in fostering innovation and economic development.

In conclusion, the Graduate Diploma in Commercial Law offers a rigorous and comprehensive curriculum that prepares students to tackle the complex legal issues inherent in commercial transactions and business operations. Through a combination of compulsory and optional modules, students gain a deep understanding of foundational principles such as contract law and company law, as well as specialised areas including conflict of laws and intellectual property.
